Terms of Service

By accessing and using the services provided by Onilaz Professional Services ("we", "us", "our"), a registered Private Business Corporation in Zimbabwe, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not use our services.

Onilaz provides the following services:

Service scope, deliverables, and timelines will be communicated at the time of engagement. We reserve the right to modify or discontinue any service with reasonable notice.

Fees

• •All fees are quoted in United States Dollars (USD) unless otherwise stated
• •Fees are payable in advance unless a payment plan is agreed upon in writing
• •Prices are subject to change; however, changes will not affect confirmed engagements

Payment Methods

Late Payments

Overdue invoices may incur a late payment fee of 5% per month on the outstanding balance. We reserve the right to suspend services for accounts with outstanding balances exceeding 30 days.

As a client, you agree to:

• ✓Provide accurate and complete information required for our services
• ✓Respond to requests for information in a timely manner
• ✓Ensure all documents provided are genuine and legally obtained
• ✓Inform us of any changes to your business structure, directors, or contact information
• ✓Make payments as agreed in the engagement terms

Delays caused by failure to provide required information may result in extended timelines and are not the responsibility of Onilaz.

All content on our website, including text, graphics, logos, and software, is the property of Onilaz and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without prior written consent.

Course materials, study guides, and training resources provided through Onilaz Academy are licensed for personal use only and may not be shared, copied, or distributed.

Onilaz provides professional services to the best of our ability and in accordance with applicable regulations. However:

• !We are not liable for delays caused by government agencies or regulatory bodies
• !We do not guarantee specific outcomes for government applications (registration, tax clearance, PRAZ approval)
• !Our liability is limited to the fees paid for the specific service in question
• !We are not liable for indirect, consequential, or special damages arising from our services
• !Academy pass rates are not guaranteed; individual results depend on student effort and preparation

We treat all client information as strictly confidential. We will not disclose your business or personal information to third parties except:

• •When required to provide the agreed services (e.g., regulatory filings)
• •When required by law or court order
• •With your explicit written consent

Any disputes arising from these terms or our services shall first be addressed through good faith negotiation. If unresolved within 30 days, disputes may be submitted to mediation or arbitration in accordance with the Arbitration Act of Zimbabwe.

These Terms of Service are governed by and construed in accordance with the laws of the Republic of Zimbabwe. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of Zimbabwe.

We reserve the right to update these Terms of Service at any time. Changes will be posted on this page with an updated date. Continued use of our services after changes constitutes acceptance of the revised terms.
