Terms of Service

By accessing and using our services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not use our services.

These terms apply to all clients globally, including those accessing our services remotely from outside Zimbabwe. Onilaz is incorporated under the Companies and Other Business Entities Act [Chapter 24:31].

Onilaz provides the following services:

Service scope, deliverables, and timelines will be communicated at the time of engagement. We reserve the right to modify or discontinue any service with reasonable notice.

Fees

• All fees are quoted in United States Dollars (USD) unless otherwise stated
• Fees are payable in advance unless a payment plan is agreed upon in writing
• Prices are subject to change; however, changes will not affect confirmed engagements

Payment Methods

Online payments are subject to the applicable payment processor's terms. Exchange rates for non-USD transactions are applied at the time of processing.

Late Payments

Many of our services involve payments to government agencies on your behalf (e.g., Companies Office registration fees, ZIMRA payments, NSSA contributions, PRAZ fees). Statutory payments to ZIMRA are processed via the TaRMS (Tax Revenue Management System) portal, the mandatory platform for all tax-related filings and payments in Zimbabwe.

• Government fees are charged at cost and are not part of Onilaz's service fees
• These fees are set by the respective government authority and may change without prior notice
• We will communicate the prevailing government fees to you before any submission
• Government fees paid on your behalf are non-refundable if the submission has been lodged
• We are not responsible for fee increases implemented by government agencies after engagement confirmation

Onilaz Academy delivers classes live online. By enrolling you agree to the following terms specific to online delivery:

As a client, you agree to:

• Provide accurate and complete information required for our services
• Respond to requests for information in a timely manner
• Ensure all documents provided are genuine and legally obtained
• Inform us of any changes to your business structure, directors, or contact information
• Make payments as agreed in the engagement terms

Delays caused by failure to provide required information may result in extended timelines and are not the responsibility of Onilaz.

All content on our website, including text, graphics, logos, and software, is the property of Onilaz and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without prior written consent.

Onilaz provides professional services to the best of our ability and in accordance with applicable regulations. However:

• We are not liable for delays caused by government agencies or regulatory bodies
• We do not guarantee specific outcomes for government applications (registration, tax clearance, PRAZ approval)
• Our liability is limited to the fees paid for the specific service in question
• We are not liable for indirect, consequential, or special damages arising from our services
• Academy pass rates are historical averages and are not guaranteed; individual results depend on student effort and preparation

We treat all client information as strictly confidential in accordance with the Cyber Security and Data Protection Act [Chapter 12:07] of Zimbabwe. We will not disclose your business or personal information to third parties except:

• When required to provide the agreed services (e.g., regulatory filings)
• When required by law or court order
• With your explicit written consent

All marketing communications are conducted in compliance with the Cyber Security and Data Protection Act [Chapter 12:07] of Zimbabwe.

Onilaz shall not be liable for any delay or failure to perform obligations under these terms arising from circumstances beyond our reasonable control, including:

• Government or regulatory authority system outages or processing delays (ZIMRA, Companies Office, NSSA, PRAZ)
• Scheduled or unscheduled electrical load-shedding or power supply disruptions
• Internet, telecommunications, or network infrastructure failures
• Natural disasters, acts of God, pandemics, or civil unrest
• Changes in applicable law or government policy affecting service delivery

In such cases, we will notify you promptly and resume performance as soon as reasonably practicable. Force majeure events do not entitle either party to terminate the agreement unless the event persists for more than 60 days.

By engaging our services or submitting an enquiry, you may receive relevant service updates, promotional offers, and educational content from Onilaz via:

• Email newsletters and service announcements
• WhatsApp broadcasts (to your registered number)
• SMS notifications

You may opt out of marketing communications at any time by replying STOP to any message, clicking the unsubscribe link in any email, or contacting us at info@onilaz.co.zw. Opting out of marketing does not affect transactional service communications.

Any disputes arising from these terms or our services shall first be addressed through good faith negotiation within 30 days of written notice.

We reserve the right to update these Terms of Service at any time. Changes will be posted on this page with an updated date. Continued use of our services after changes constitutes acceptance of the revised terms.
